1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of DREAM (Department Resource & Equipment Asset Management) and related websites or services (the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

2. Eligibility and Authority

You must be legally capable of entering into binding agreements.

If you use DREAM on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Service Description

DREAM is a software platform that assists organizations with:

  • Asset management
  • Assignment tracking
  • Inventory visibility
  • Lifecycle forecasting
  • Reporting
  • Related operational workflows

We may modify, improve, suspend, or discontinue features from time to time.

4. Accounts and Security

Users are responsible for:

  • Maintaining the confidentiality of account credentials
  • Restricting unauthorized access to their account
  • Ensuring account information remains accurate
  • Promptly notifying us of suspected unauthorized use or security incidents

We may suspend accounts where security is at risk.

5. Subscription Plans and Billing

Certain features require a paid subscription.

Subscriptions are sold on a recurring monthly or annual basis and are processed by Paddle as Merchant of Record. Fees and included seat limits are presented at the time of purchase.

Customer is responsible for timely payment of fees and applicable taxes unless expressly stated otherwise.

Failure to pay may result in suspension, downgrade, or termination of access.

We may change pricing, subscription plans, or included features from time to time. Unless otherwise stated, pricing changes will apply on a future renewal date after reasonable notice has been provided.

6. User Roles and Seat Limits

Plans may include role-based access limits such as:

  • Admin
  • Editor
  • Viewer

Customers agree not to circumvent seat limits, access restrictions, licensing controls, or technical enforcement measures.

We may enforce reasonable technical controls relating to plan limits and role eligibility.

7. Customer Data

Customer organizations retain ownership of data they upload or enter into DREAM, including employee, asset, and operational records.

Customer is responsible for:

  • Having lawful authority to upload such data
  • Ensuring data accuracy where practical
  • Managing internal user access permissions
  • Lawful use of the Service
  • Complying with applicable employment, privacy, and recordkeeping obligations

We may process customer data solely as necessary to provide, secure, support, maintain, and improve the Service, consistent with our Privacy Policy.

8. Acceptable Use

You agree not to:

  • Use the Service unlawfully
  • Attempt unauthorized access to systems, accounts, or data
  • Interfere with platform security, performance, or availability
  • Reverse engineer, copy, or exploit the Service except where legally permitted
  • Scrape data or conduct abusive automated requests
  • Upload malicious code or harmful content
  • Misuse another organization's data or account access
  • Use the Service in a manner that could damage our systems or reputation

9. Third-Party Services

The Service may rely on third-party providers including Google Firebase / Google Cloud, Paddle, and other service vendors.

Availability, performance, or changes made by third-party providers may affect portions of the Service.

We are not responsible for independent third-party products or services outside our reasonable control.

10. Availability and Backups

We aim to provide reliable service but do not guarantee uninterrupted availability, error-free operation, or permanent retention of data.

Scheduled maintenance, upgrades, outages, third-party failures, and unforeseen events may affect availability.

Customers are encouraged to maintain appropriate internal records and exports for important business information.

11. Suspension, Termination, and Data Export

We may suspend or terminate access where we reasonably believe there has been:

  • Material breach of these Terms
  • Fraud or illegal activity
  • Security risk
  • Repeated abuse
  • Non-payment

Customers may stop using the Service at any time.

Upon termination or at the end of a subscription period, customers may request an export of their organization's data within 30 days. After that period, retained data may be deleted, anonymized, or archived in accordance with our policies and applicable legal obligations. We will make reasonable efforts to provide data in a standard, machine-readable format upon request.

12. Intellectual Property

DREAM, including its software, branding, design, content, and underlying systems, is owned by Egregius Digital or its licensors.

These Terms grant a limited, revocable, non-exclusive, non-transferable right to use the Service during an active subscription or authorized access period.

No ownership rights in the Service are transferred to customers or users.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the fullest extent permitted by law:

Egregius Digital shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill arising from or relating to the Service.

Our total aggregate liability arising from or relating to the Service shall not exceed the amounts paid by the customer to Egregius Digital for the Service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.

Some jurisdictions may not allow certain exclusions or limitations, so portions of this section may apply only to the extent permitted by law.

15. Indemnity

Customer agrees to indemnify, defend, and hold harmless Egregius Digital and its officers, contractors, and affiliates from claims, liabilities, damages, losses, and expenses arising from:

  • Customer misuse of the Service
  • Unlawful or unauthorized data uploaded by customer
  • Breach of these Terms
  • Violation of third-party rights
  • Negligent or wrongful acts by customer or its users

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

You agree that any dispute arising from or relating to these Terms or your use of the Service shall be brought exclusively before the courts of Alberta, Canada, and you consent to their jurisdiction and venue.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice by email to the address associated with your account at least 14 days before the changes take effect.

Updated versions will be posted on the applicable DREAM website with a revised Effective Date.

Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.

18. General

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Egregius Digital with respect to the Service and supersede all prior agreements, representations, and understandings.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
